Ethics & Compliance

Zydus’ Ethics & Compliance Program is paramount in supporting our organization’s mission and core values. Our program reinforces our purpose by fostering a culture of integrity, responsibility, forward-looking risk management, and sustainable practices that are integrated across all areas of our organization.

The foundational elements that comprise the framework of our Ethics & Compliance Program have been developed with careful consideration and are continuously enhanced. Zydus’ ongoing commitment to sustaining a culture of proactive accountability remains a fundamental cornerstone of our enterprise.

Leadership and Structure

Zydus maintains a strong compliance framework led by a Compliance Officer and supported by a cross-functional Compliance Committee. The Compliance Officer is responsible for corporate wide activities conducted in the U.S., and oversees the development, implementation, and enforcement of policies, procedures, and practices that ensure adherence to applicable federal, state, and local laws and regulations. The Compliance Committee, chaired by the Compliance Officer, is composed of senior individuals representing multiple business units and disciplines across the Company. Each committee member is empowered to drive compliance initiatives and implement necessary changes within their respective departments. The Committee and the Compliance Officer collaborate and establish guidance and oversight for Company policies, processes, training, and implementation to ensure the effectiveness of the compliance program.

Written Standards

Zydus has implemented written policies and procedures that provide employees with the necessary guidance to act ethically and in compliance with all applicable laws, regulations, and industry guidelines when conducting business on behalf of the Company.

Effective Education and Training

Zydus is committed to supporting compliance efforts by providing its employees with the education and training necessary to carry out their responsibilities ethically and in accordance with all applicable laws, regulations, and industry guidelines. All employees complete regular training on the Company’s written policies and procedures, including monthly compliance training, with additional department-specific instructions as needed.

Effective Lines of Communication

At Zydus, we are committed to maintaining a culture of integrity, transparency, and accountability. Every employee has a responsibility to promptly report, in good faith, any suspected violation of Company policies, procedures, or applicable laws, regulations, and industry guidelines.

Zydus fosters an open-door environment where concerns can be raised without fear of retaliation. No employee will be retaliated against for making a report in good faith even if the concern ultimately turns out to be unsubstantiated. Open and honest communication is essential to the Company’s shared success and upholding our values.

Internal Auditing and Monitoring

Zydus performs regular auditing and monitoring of its business activities to assess compliance with its policies and procedures. In accordance with the OIG Compliance Guidance, the nature, extent and frequency of compliance monitoring and auditing vary according to several factors, including an assessment of the relative risks, new regulatory requirements, changes in business practices, and other considerations. The Compliance Officer is responsible for internal and external audits and investigations.

Enforcement of Standards

Zydus has put in place clear, consistent, and well-publicized disciplinary guidelines for non-compliance. Employees must understand that violations of compliance policies will result in appropriate disciplinary actions, up to and including termination. Uniform enforcement of disciplinary measures maintains the integrity of the compliance program.

Response and Corrective Action

Zydus has established policies and procedures that encourage any individual who becomes aware of or suspects a compliance violation has occurred to contact the Compliance Officer. Zydus prohibits any retaliation against anyone who in good faith reported a suspected compliance violation.

The Compliance Officer will determine, depending on the nature of the incident, the appropriate individual or department to conduct investigations and will implement corrective actions to address the problem to prevent future occurrences.

All Zydus employees must cooperate with any investigations of a suspected violation and answer any questions truthfully. Zydus employees who withhold information or attempt to mislead, misdirect, intimidate, or engage in retaliation are subject to disciplinary action, up to and including termination.

Zydus Annual Declaration of Compliance for California

Zydus Pharmaceuticals (USA) Inc. declares, to the best of its knowledge and based upon a good faith understanding of the applicable statutory requirements, that it has established a comprehensive compliance program that encompasses the compliance program requirements stated in the California Health and Safety Code, §§ 119400 – 119402. As of January 1, 2026, Zydus declares that it is, in all material respects, in compliance with its comprehensive compliance program and the requirements of the California Health and Safety Code, §§ 119400 – 119402. This declaration will be updated on an annual basis and is based on Zydus’ most recent evaluation, which includes consideration of the annual aggregate limit noted on covered promotional expenditures.
